CiptaBase PLT is dedicated to empowering businesses through innovative digital solutions that help them succeed online and streamline their operations. Our flagship product, HaveTap, transforms how small businesses sell online by serving as the perfect bridge between chaotic social media DMs and instant messaging order management, and the overwhelming complexity of full e-commerce websites. Think of HaveTap as a commerce platform that helps businesses create stunning, functional storefronts that turn social media followers into paying customers, all through one powerful link.

By accessing, registering for, or using any of our Services, you agree to be bound by these Terms and our Privacy Policy (available at ciptabase.com/privacy), which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Services.

If you are using the Services on behalf of an organization or entity (“Organization”), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, “you” and “your” will refer to that Organization.

1. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect, such as by posting a notice on our websites or sending an email to the address associated with your account. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Services.

Important Note: Our Services do not, in any way, represent official products, services, or extensions of any social media platforms, instant messaging applications, or other third-party services. You are responsible for complying with the terms of service of any third-party platforms when using them in conjunction with our Services.

3. User Accounts

a. Registration

To access certain features of the Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information and to keep this information up-to-date.

b. Account Security

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password, whether your password is with our Services or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

c. Account Responsibility

You are solely responsible for all activities that occur under your account, including the content of the information you process through the Services.

4. License to Use Our Services

Subject to your compliance with these Terms, CiptaBase PLT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes as intended through the provided functionality.

5. Fees and Payment

a. Subscription Fees

Certain features of the Services may be subject to fees (“Fees”). You agree to pay all applicable Fees for the subscription plan you select. All Fees are non-refundable except as expressly stated in these Terms, our Refund Policy, or as required by applicable law.

b. Payment Processing

We use Xendit (www.xendit.co) as our primary payment processor to handle subscriptions and payments. By subscribing to our paid services, you agree to Xendit’s Terms of Service and Privacy Policy. The processing of payments will be subject to the terms, conditions, and privacy policies of Xendit in addition to these Terms.

c. Automatic Renewal

Monthly Subscriptions: Your monthly subscription will automatically renew for successive monthly periods unless cancelled before the renewal date. You will be charged the then-current monthly subscription fee to your designated payment method.

Annual Subscriptions: Your annual subscription will automatically renew for successive annual periods unless cancelled before the renewal date. You will be charged the then-current annual subscription fee to your designated payment method.

Cancellation of Auto-Renewal: You may cancel the automatic renewal of your subscription at any time through your account settings or by contacting our support team. Cancellation must be made at least 24 hours before the next billing cycle to avoid charges for the next period.

d. Changes in Fees

We reserve the right to change our subscription plans or adjust pricing for our Services or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. For existing subscribers, price changes will take effect at the next renewal period after at least 30 days’ notice.

e. Taxes

You are responsible for all applicable sales, use, value-added, or other taxes, duties, or governmental charges associated with your subscription, other than taxes based on CiptaBase PLT’s net income.

6. Intellectual Property Rights

a. Our Intellectual Property

The Services and their original content (excluding User Content, defined below), features, and functionality are and will remain the exclusive property of CiptaBase PLT and its licensors. The Services are protected by copyright, trademark, and other laws of Malaysia and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CiptaBase PLT.

b. Your User Content

You retain ownership of any intellectual property rights that you hold in the content you submit, post, or display on or through the Services (“User Content”). This includes order information, customer data, and any business-specific configurations you create.

c. License to CiptaBase for User Content

To enable us to operate and provide the Services, you grant CiptaBase PLT a worldwide, non-exclusive, royalty-free, sublicensable (as necessary to our service providers), and transferable license to use, host, store, reproduce, modify (e.g., to reformat data for display or transmission), communicate, publish (only if you make it public), publicly perform (only if you make it public), publicly display (only if you make it public), and distribute such User Content solely for the purposes of operating, developing, providing, and improving the Services, and for resolving support requests. This license terminates when you delete your User Content or your account, except to the extent your User Content has been shared with others and they have not deleted it, or for residual copies retained in our backups for a limited period.

d. Feedback

If you provide us with any suggestions, comments, or other feedback relating to the Services (“Feedback”), such Feedback is non-confidential and shall become the sole property of CiptaBase PLT. We will be free to use, disclose, reproduce, license, or otherwise distribute and exploit such Feedback as we see fit, entirely without obligation or restriction of any kind on account of intellectual property rights or otherwise.

7. User Responsibilities and Prohibited Conduct

You agree not to misuse the Services or help anyone else to do so. You must not, and must not attempt to, do any of the following in connection with the Services:

• a. Breach or otherwise circumvent any security or authentication measures.
• b. Access, tamper with, or use non-public areas or parts of the Services, or shared areas of the Services you haven’t been invited to.
• c. Probe, scan, or test the vulnerability of any system or network.
• d. Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services.
• e. Transmit any material that is unlawful, abusive, harassing, defamatory, pornographic, indecent, or otherwise objectionable. f. Transmit any material that infringes or violates the intellectual property rights or any other rights of anyone else (including CiptaBase PLT).
• g. Use the Services to send unsolicited communications, promotions, advertisements, or spam.
• h. Violate any applicable law or regulation, including but not limited to data privacy laws such as the Malaysian Personal Data Protection Act 2010 (PDPA) (by collecting or processing personal data without necessary consents or legal basis).
• i. Resell, lease, or sublicense the Services without our prior written consent.
• j. Use the Services in any way that competes with any CiptaBase PLT products or services, including by reverse engineering or otherwise attempting to derive the source code or underlying ideas or algorithms of any part of the Services, except to the limited extent applicable laws specifically prohibit such restriction.
• k. Facilitate or assist a third party to do any of the acts described above.

8. Data Privacy

Your privacy is important to us. Our collection and use of personal information in connection with your access to and use of the Services is described in our Privacy Policy available at ciptabase.com/privacy. We comply with the Malaysian Personal Data Protection Act 2010 (PDPA) and other applicable data protection laws.

9. Third-Party Services and Links

The Services may contain links to third-party websites or services (such as instant messaging platforms, social media networks, payment processors like Xendit) that are not owned or controlled by CiptaBase PLT. CiptaBase PLT has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that CiptaBase PLT shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

10. Force Majeure

CiptaBase PLT shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond CiptaBase PLT’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation; government actions; war; terrorism; earthquake; fire; flood; or other acts of God.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

CIPTABASE PLT DOES NOT WARRANT THAT: a. THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; b. ANY ERRORS OR DEFECTS WILL BE CORRECTED; c. THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR d. THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CIPTABASE PLT, ITS AFFILIATES, PARTNERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

a. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; b. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; c. ANY CONTENT OBTAINED FROM THE SERVICES; AND d. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CIPTABASE PLT’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (I) ONE HUNDRED U.S. DOLLARS (USD $100.00) OR (II) THE AMOUNTS PAID BY YOU TO CIPTABASE PLT FOR THE USE OF THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless CiptaBase PLT and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:

a. Your use and access of the Services, by you or any person using your account and password; b. A breach of these Terms by you; or c. User Content you submit, post, or otherwise make available through the Services, including any claim that your User Content infringes or violates any third-party intellectual property or privacy rights.

14. Term and Termination

a. Term

These Terms will remain in full force and effect while you use the Services.

b. Termination by You

You may terminate your account and these Terms at any time by ceasing to use the Services and notifying us.

c. Termination by CiptaBase

We may suspend or terminate your access to or use of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. We may also terminate or suspend your account for prolonged inactivity.

d. Effect of Termination

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us. Upon termination, CiptaBase PLT may delete your User Content, subject to our data retention policies outlined in our Privacy Policy.

e. Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Discontinuance of Services

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, any of the Services (or any part thereof) with or without notice at any time. You agree that CiptaBase PLT will not be liable to you or to any third party for any modification, suspension, or discontinuance of any Services.

16. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts located in Selangor, Malaysia.

17. Dispute Resolution

a. Negotiation

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

18. General Provisions

a. Entire Agreement

These Terms (including the Privacy Policy and any other terms we provide when you use specific features) constitute the entire agreement between you and CiptaBase PLT regarding our Services and supersede and replace any prior agreements, oral or written, we might have had between us regarding the Services.

b. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

c. No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and CiptaBase PLT’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

d. Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by CiptaBase PLT without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

e. Notices

Any notices or other communications provided by CiptaBase PLT under these Terms, including those regarding modifications to these Terms, will be given: i. via email; or ii. by posting to our websites or service platforms.

For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

f. Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
